EXPLR.SX works with a curated network of trusted operators, captains, guides, and experience providers across St Martin, St Maarten, Anguilla, St Barts, and the wider Caribbean region.

These operating terms outline the expectations, standards, and working relationship between EXPLR.SX and its activity partners.

They are designed to support reliable operations, strong guest experiences, professional coordination, and long-term partnership growth.

These terms apply to all activity and experience partners working with EXPLR.SX unless otherwise agreed in writing.

1. Relationship & participation

EXPLR.SX operates as a guided booking and coordination platform connecting guests with trusted local experiences and operators.

Participation within the EXPLR.SX network is non-exclusive. Partners may continue to accept direct bookings and work with other businesses or platforms.

Partners operate as independent businesses and remain fully responsible for their own operations, staff, equipment, licenses, insurance, taxes, and legal compliance.

EXPLR.SX selectively works with partners based on operational fit, reliability, guest experience standards, professionalism, and long-term alignment with the EXPLR.SX brand and service approach.

Participation within the EXPLR.SX network does not guarantee visibility, booking volume, recommendation frequency, or placement priority.

EXPLR.SX reserves the right to selectively pause, limit, prioritize, or remove partner visibility at its discretion.

2. How EXPLR.SX operates

EXPLR.SX is not a public operator marketplace or open activity directory.

EXPLR.SX operates as:

  • a guest-facing booking and coordination layer
  • a trusted recommendation and matching service
  • a local operational support and communication layer
  • and a curated demand-routing platform.

EXPLR.SX may:

  • recommend specific experiences based on guest needs
  • package experiences differently depending on the booking
  • present experiences under different categories or itineraries
  • adjust public-facing pricing
  • selectively route inquiries between partners
  • and manage guest communications directly.

Public presentation, recommendation order, visibility, and experience positioning are managed solely by EXPLR.SX.

Partners acknowledge that EXPLR.SX retains discretion over how experiences, operators, vessels, tours, or activities are described, positioned, marketed, or recommended publicly.

3. Commercial structure & payouts

Commercial terms are agreed directly between EXPLR.SX and each partner.

In most cases:

  • guests pay a reservation deposit online to EXPLR.SX
  • the remaining balance is paid directly to the partner on the day of the activity unless otherwise agreed.

EXPLR.SX generally guarantees partners an agreed fixed net rate for confirmed bookings.

Public retail pricing displayed to guests may differ from partner net pricing and may include:

  • operational margins
  • advisor or referral commissions
  • payment processing costs
  • exchange-rate adjustments
  • local taxes
  • marketing costs
  • coordination overhead
  • and other commercial considerations.

Partners acknowledge that EXPLR.SX retains discretion over public retail pricing and pricing presentation.

Unless otherwise agreed:

  • partners are responsible for collecting their remaining balance directly from the guest
  • partners are responsible for their own invoicing, receipts, tax declarations, and financial reporting obligations.

4. Availability & operational communication

Reliable communication and operational responsiveness are essential to maintaining guest trust.

Partners agree to:

  • provide accurate availability information
  • communicate schedule changes promptly
  • notify EXPLR.SX immediately of operational issues that may affect a booking
  • respond to booking confirmations and operational messages within a reasonable timeframe
  • maintain accurate pricing and operational information
  • and avoid accepting conflicting bookings that may compromise confirmed reservations.

Where calendar synchronization or shared availability systems are used, partners agree to keep those systems reasonably accurate and updated.

Repeated communication failures, inaccurate availability, last-minute cancellations, or operational unreliability may result in reduced visibility or removal from the EXPLR.SX network.

5. Guest experience standards

Partners are expected to operate professionally and deliver safe, reliable, and respectful guest experiences.

Partners agree to:

  • treat guests professionally and respectfully
  • operate punctually where reasonably possible
  • maintain clean and operational equipment or vessels
  • provide experiences consistent with what was confirmed to the guest
  • communicate calmly and professionally during operational issues
  • and prioritize guest safety and experience quality at all times.

Unsafe conduct, harassment, discrimination, aggressive behavior, intoxication while operating, repeated guest complaints, or conduct likely to damage guest trust or the EXPLR.SX reputation may result in immediate suspension or removal.

EXPLR.SX reserves the right to prioritize guest safety, operational reliability, and overall experience quality when evaluating ongoing partnerships.

6. Safety, licensing & compliance

Partners confirm that they:

  • hold all required licenses, permits, certifications, and authorizations required for their operations
  • maintain appropriate insurance coverage where applicable
  • comply with local maritime, tourism, transport, safety, and business regulations
  • and operate in accordance with applicable laws and safety standards.

Partners remain fully responsible for:

  • their vessels
  • vehicles
  • equipment
  • staff
  • captains
  • guides
  • subcontractors
  • and operational safety procedures.

EXPLR.SX reserves the right to request updated insurance, licensing, or operational documentation at any time.

EXPLR.SX may suspend or remove partners where safety, compliance, or operational concerns arise.

7. Pricing & public presentation

Partners acknowledge that EXPLR.SX may:

  • present experiences differently across marketing channels
  • combine or package experiences
  • position experiences within broader itineraries or recommendations
  • and adjust public-facing pricing structures.

Partners agree not to publicly advertise or knowingly offer the same experience at materially lower publicly available pricing in a way that undermines confirmed EXPLR.SX pricing or damages guest trust.

Private repeat-guest offers, offline arrangements, loyalty pricing, and discretionary direct customer relationships remain permitted.

Partners agree to keep confidential:

  • agreed net pricing
  • commercial arrangements
  • referral structures
  • advisor commissions
  • and internal EXPLR.SX operational processes.

8. Cancellations, weather & operational disruptions

Marine and outdoor tourism operations are subject to weather, sea conditions, operational limitations, and force majeure events.

Partners agree to communicate cancellation risks or operational concerns as early as reasonably possible.

Where an activity cannot safely operate due to:

  • weather
  • sea conditions
  • safety concerns
  • mechanical failure
  • captain illness
  • port restrictions
  • force majeure
  • or other operational events,

EXPLR.SX and the partner will work in good faith to:

  • reschedule the activity
  • offer an alternative solution
  • or process an appropriate refund where applicable.

Partners acknowledge that safety-based operational decisions take priority over commercial considerations.

Unless otherwise agreed in writing:

  • guest reservation deposits are generally non-refundable within 48 hours of the activity
  • however EXPLR.SX reserves discretion in handling exceptional situations, guest experience concerns, operational failures, or goodwill resolutions.

9. Guest communication & booking handling

EXPLR.SX generally manages guest communication before booking confirmation and often remains involved in operational coordination before the activity.

Partners agree to:

  • communicate professionally with referred guests
  • avoid bypassing or undermining confirmed EXPLR.SX bookings
  • avoid redirecting guests away from confirmed booking arrangements
  • and coordinate operational matters in good faith.

Where a guest first discovers or confirms an experience through EXPLR.SX, the initial booking must be completed through EXPLR.SX unless otherwise agreed.

Future repeat business between the partner and guest remains at the partner’s discretion.

10. Referral relationships & partner conduct

EXPLR.SX works with:

  • travel advisors
  • villa managers
  • concierge partners
  • referral networks
  • and local hospitality relationships.

Partners agree not to knowingly interfere with, damage, or misrepresent EXPLR.SX commercial relationships, referral arrangements, or partner reputation.

Professionalism, discretion, and long-term relationship trust are considered essential parts of participation within the EXPLR.SX network.

11. Content & marketing rights

Partners retain ownership of their logos, photos, videos, descriptions, and marketing materials.

Partners grant EXPLR.SX a non-exclusive, royalty-free license to use provided content for:

  • marketing
  • sales
  • operational coordination
  • social media
  • website presentation
  • and promotional purposes while the partnership remains active.

EXPLR.SX may edit, crop, reformat, or adapt content for branding, marketing, or presentation purposes.

Partners confirm that they hold the rights necessary to share provided content.

12. Reputation, visibility & discretionary removal

EXPLR.SX reserves the right to:

  • pause or reduce partner visibility
  • temporarily suspend bookings
  • stop recommending certain experiences
  • or terminate a partnership relationship at its discretion.

This may occur where EXPLR.SX reasonably believes that:

  • guest trust may be negatively affected
  • operational reliability has declined
  • repeated complaints have occurred
  • communication standards are insufficient
  • safety concerns exist
  • reputational risk is present
  • or the partnership is no longer operationally aligned.

EXPLR.SX is not obligated to provide guaranteed visibility, booking volume, recommendation frequency, or continued platform participation.

13. Confidentiality & data protection

Both parties agree to handle guest information responsibly and only for purposes directly related to booking fulfillment and operational coordination.

Partners agree not to misuse guest data or share guest information unnecessarily with third parties.

Both parties agree to comply with applicable data protection and privacy laws, including GDPR where applicable.

Commercial discussions, internal pricing structures, referral arrangements, and operational processes should be treated confidentially unless disclosure is legally required.

14. Termination

Either party may terminate the partnership relationship with written notice.

Confirmed bookings accepted before termination must still be honored unless otherwise agreed between both parties.

EXPLR.SX reserves the right to suspend or immediately terminate partnerships in situations involving:

  • safety concerns
  • fraud
  • abusive conduct
  • operational dishonesty
  • severe reputational concerns
  • repeated operational failures
  • or significant breaches of these operating terms.

15. Governing law

These operating terms are governed by the laws of French Saint-Martin.

Any disputes arising in connection with these terms shall fall under the jurisdiction of the competent courts of Saint-Martin.
